This Memorandum of Understanding (MOU) is entered into as of ____________________ (Date), by and between Legasii (“Host”) and ____________________(“Speaker”).

Purpose: The purpose of this MOU is to outline the terms and conditions under which the speaker will participate as a trainer on Legasii.Club a Joint Venture platform offered by Legasii in the month of November, 2024. This collaborative platform will benefit all parties involved, with approximately 12-20 Independent speakers who agree to the following terms:. 

Terms and Conditions:

Speaker Commitment:

• The Speaker agrees to deliver a live Zoom masterclass session of their choice, lasting either 60 or 90 minutes.

• The Speaker will be online at least 10 minutes prior to the scheduled start time to conduct sound and visual tests prior to going live .

• The Speaker will select an exclusive time slot for their session on a first-come, first-served basis. A scheduling sheet will be provided, enabling the Speaker to choose a time that does not conflict with other sessions.

• To promote their session, the Speaker will send a minimum of three (3) promotional emails to their mailing list prior to November 10th. For example, if the first masterclass is scheduled for November 11th, all promotional emails must be sent no later than November 1st.

• The speaker must confirm that they have a mailing list of at least 10,000* contacts to effectively promote their session.

• The Speaker agrees to submit all required class materials by October 21st to allow the development team to prepare the necessary backend resources for the session. Upon signing this MOU, the Speaker will receive further instructions, including a Jotform link to upload their materials.

Promotion and Exposure:

• Legasii will provide the Speaker with valuable cross-marketing exposure, as all speakers will send three emails for their respective masterclasses from November 1st until November 10th.
• The Speaker has an option to create a 1-minute promotional trailer for their masterclass, which Legasii will feature on the website.
• Legasii will promote the masterclasses to their active email list subscribers via email, and will also extend the marketing reach through their social media platforms, including LinkedIn, Facebook, and Instagram.
• Legasii reserves the right to produce short promotional clips from the Speaker’s masterclass to support further marketing efforts.
• Upon completion of the masterclass, Legasii will provide the Speaker with a .csv file containing registration data from both the live session and replay views. This file will include participants’ first names, last names, phone numbers, and email addresses.

 

Content and Sales:

• The speaker will sell products/services directly to attendees during their masterclass.
• The speaker will receive all leads generated after the masterclass and the Legasii branded replay video.
• Legasii Club is hosting the replay for 72 Hours to support those who missed the masterclass.
• The Speaker agrees to make an offer during the masterclass and will share revenues with Legasii through the ascension process. The first sale will be shared on a 50/50 basis, while subsequent upsell products will be subject to standard affiliate commission rates.

 

Collaboration and Conduct:

• The speaker agrees to collaborate with other speakers and adhere to the schedule and promotional commitments.
• The speaker will read the recommended tips provided written by Legasii for optimizing their 60 or 90 minute session.
• The speaker will be listed on the website in chronological order of their registration and prompt provision of required information.
• Speakers who adhere to the rules of the syndication will be invited back for future events benefiting from the collaboration with up to 19 other speakers.

 

Referral Program:

• The Speaker may recommend other speakers to the platform and will receive 10% of total sales from Legasii’s commission share generated by the referred speaker's masterclass.

 

Live Session Policy:

• All sessions will be live, with replay only running up to 72 Hours. This policy aims to maintain high live attendance rates.

 

Acceptance:

• By agreeing to this MOU, the speaker consents to the terms and conditions outlined herein. The speaker will complete the necessary registration by clicking the provided link and submitting the required information about their class.

 

Agreement:

By signing below, both parties acknowledge that they have read, understood, and agree to the terms and conditions outlined in this Memorandum of Understanding (MOU).

If the Speaker fails to comply with the joint venture terms and conditions, Legasii reserves the right to remove their masterclass from the platform.
